Governance & Leadership

At High Arctic, we are committed to conducting our business while upholding the highest ethical and business standards. Michael Binnion

Chair of the Board

Michael Binnion is the President and Chief Executive Officer of Questerre Energy Corporation, a position held since November 2000. Michael is a director of High Arctic Energy Services Inc. where he was chairman from 2007 until the successful 2024 spin-out of the PNG Business.  Michael has been actively involved in the financing and executive management of numerous private and public companies through his investment company, Ruperts Crossing Inc. He has also been a Director of Terrenex Acquisition Corporation and Sylogist Ltd. and presently holds board positions on four other private companies. Michael Binnion was a founding shareholder and Chief Executive Officer of Flowing Energy Corporation from 1996 until 2001 and was founding shareholder, President, Chief Financial Officer, and a Director of CanArgo Energy Corporation in the Republic of Georgia from 1996 to 2000. Michael is a Fellow Chartered Accountant and holds a Bachelor’s Degree in Commerce from the University of Alberta. Michael also holds the honorary office of consul of PNG to Canada.


Mike Maguire

Director & Chief Executive

Mike joined High Arctic in December of 2013 rising to the position of Chief Executive Officer of High Arctic Energy Services in 2020, having previously been President of High Arctic’s PNG business. Mike has over 30 years’ experience in oilfield drilling and well servicing and has been a director of, and held senior management roles with Australian drilling contractors Easternwell and Oil Drilling & Exploration Ltd.  Mike holds a Bachelor’s Degree (Hons) in Petroleum Engineering from the University of New South Wales and is a former Vice Chairman of the Australian chapter of the International Association of Drilling Contractors.


Bruce Apana

Independent Director

Bruce is the Chief Operating Officer at MRL Capital Limited, the trustee of the Lihir Island landowner equity trust. Bruce is a PNG citizen. He is a lawyer by profession, obtaining his degree and admission in the Australian Capital Territory and has practiced in Australia and Papua New Guinea, both in private and corporate practice. Mr. Apana has served in executive, general counsel and advisory roles for various multinational energy companies in PNG. Bruce has served as director and company secretary for High Arctic’s PNG incorporated subsidiaries since High Arctic’s initial establishment there in 2007.


Matthew Cocks

Chief Financial Officer

Matt was appointed CFO of High Arctic on June 24, 2025. He initially joined High Arctic in October 2023 as VP-Finance responsible for the PNG Business to provide financial leadership and strengthen the finance and accounting processes in preparation of the spin-out from High Arctic Energy Services Inc. Prior to that Matt was CFO at a fast-growing private Australian mining services company, where he worked for 4 years. Matt has over 20 years of experience in broad financial leadership positions including substantial periods in senior and executive roles of private and public companies, including significant experience in resources, construction, manufacturing, and logistics businesses. Matt holds a Bachelor’s Degree in Commerce from James Cook University and completed his qualifications and became a Chartered Accountant in 2010 through the Institute of Chartered Accountants Australia & New Zealand, however he did not renew membership with the Institute in 2020 and is not a current member.


Steve Lambert

Chief Operating Officer

Steve has been Chief Operating Officer of High Arctic Energy Services Inc since 2021 having joined High Arctic in July 2014, and during his employment at High Arctic has been engaged in several roles including People and Safety Manager PNG, General Manager PNG, and Director Quality and Risk. Steve was the Executive General Manager for Quality, Health and Safety for QLD and the Pacific Islands in Transfield Services and was the CEO of their oil and gas training centre. In this role, his scope of responsibility transitioned across industries that included rail, hospitality, mining, health, construction and infrastructure projects. Before that he completed a successful military career spanning over 20 years in the Australian Army. He finished his time as a senior instructor and training developer at the Land Warfare Centre, developing and delivering training for leadership, planning, strategy, and tactics. Steve holds qualifications in Management, QHSE, Training Development and Resource Management.

History

High Arctic has been a trusted partner to Papua New Guinea’s extractive industries since 2007. High Arctic Overseas Holdings Corp. (“HOH”) is the ultimate parent company and its shares are listed for trading on the Toronto Venture Exchange (TSX-HOH).

HOH was founded in 2024 as part of a corporate reorganization of High Arctic Energy Services Inc. (“HWO”). The corporate reorganization, amongst other matters, resulted in the transfer of HWO’s PNG business into HOH, with HWO’s legacy North American business remaining with HWO. The corporate reorganization, which included a Plan of Arrangement was approved by a vote of shareholders of HWO on June 17, 2024 and was completed on August 12, 2024.
